Please carefully read this Wilmington Trust (“we,” “our” or “us”) Social Media Terms of Use (“Terms of Use”). This Social Media Terms of Use governs the use of our social media-based pages, websites, accounts, and applications (or collectively, our "Sites") that belong to, or are managed by certain Wilmington Trust affiliates and the use of any information, software, function, graphics, original thought/opinion, articles, photos, images and any other material contained therein (collectively referred to as “Content”). Through these Sites, we and others may share, interact with, promote and/or create various types of Content and discuss topics of interest.
By using or accessing our Sites and any Content, you agree to be bound by this Social Media Terms of Use (and any changes that we may publish from time to time), all applicable laws and regulations, and the terms of use of any third parties that host our Sites (such as LinkedIn, Inc.). If you do not agree with this Social Media Terms of Use, do not use or access our Sites or any Content. This Social Media Terms of Use is subject to change at any time and from time to time, without notice.
Content. The Content provided on our Sites is intended as general information only and is not intended to provide specific investment, legal, tax or accounting advice for any individual or entity. LinkedIn and Other Third Party Social Media. We are not affiliated with LinkedIn, Inc. or other third party social media sites (e.g., Twitter, Facebook, etc.). If you use LinkedIn or any other social media sites, you do so at your own risk. We are not responsible for and do not endorse any content, advertising, products, advice, opinions, recommendations, terms of use or policies, or other materials on or available from LinkedIn or any other third party social media site. We are not responsible for comments made or content posted or made available by any users of LinkedIn or other third party social media sites. When you use any third party social media sites, including LinkedIn, you must comply with all of that third party's policies and procedures while using the relevant platform or service and you are subject to whatever actions such third party may elect to take in order to enforce its policies and procedures.
Additional Information. We reserve all rights relating to our Sites and Content, including but not limited to: (i) adding, removing, or modifying any content, (ii) blocking disruptive users; (iii) discontinuing any of our social media channels at any time; and (iv) blocking any user whose posts constitute testimonials, advice, recommendations, or advertisements for securities, products or services, content that is promotional in nature or for any reason as we determine. We reserve the right to remove any post or hyperlink from our Sites for any reason without notice. We are not the source of all posts on our Sites and thus cannot be responsible for any views expressed.
Specific Account Information/Communication. Please do not share any personal information or details about you or any account that you may have with us through the Sites. Do not submit any instructions concerning any Wilmington Trust account through the Sites or any other third party social media site.
User Conduct and License Grant. You agree not to use, nor will you permit anyone to use, the Site or Content for, or to further, any unlawful, fraudulent, illegal, harassing or unauthorized purpose. When you use our Sites, we expect you to be courteous and keep the content of your post on topic within the conversation of the wall post in which you have chosen to participate. Your content should never include or be used to perpetrate any of the following:
- negative or defamatory comments, discriminatory content, or personal attacks
- criminal activity or acts that instigate or promote violence or criminal activity
- unlawful, fraudulent or illegal activity

By posting comments or content to our Site, you represent to us that you own or have been granted all necessary legal rights and permissions required to post content to our Sites and to grant us the permissions granted in these Social Media Terms of Use.
By posting to our Site, you represent to us that you are at least 18 years of age, and you give us permission, at our discretion, to use your real or social media user name and the content of your post, in our marketing or advertising materials, or in any other format that we may elect for such time period as we wish. You do not have the right to review or approve our use of your post and you will not receive any compensation for granting us these rights. If you do not wish to grant us such permission, then please do not post to our Sites because once you do so, you will not be able to revoke that permission. Wilmington Trust is not responsible for any content that you upload via the Site. If you choose to link to our Site, you agree that the link and surrounding context must not (a) falsely represent or misrepresent any relationship between the linking site and us; or (b) portray Wilmington Trust or its affiliates in a false, misleading, derogatory, or offensive manner.
Opinions/Views. Our employees may establish personal pages on and/or use LinkedIn and/or other social media sites. The views, comments and opinions expressed on any such individual's social media profile are those of the individual and are not necessarily those of Wilmington Trust or its affiliates.
No Warranty. Your use of and access to the Sites and all content therein is subject to the applicable third party social media site's (e.g. LinkedIn's) terms and conditions and this Social Media Terms of Use then in effect. No representation, warranty or guarantee of any kind, whether express or implied, is provided by Wilmington Trust or its officers, directors, employees or affiliates, including but not limited to warranties of non-infringement or fitness for a particular purpose.
No Liability. Wilmington Trust and its affiliates, directors, officers, and employees are not liable for any loss or damage arising out of your use of any Content, the Sites, the personal social media sites of our employees, or any third party social media sites. Any Content accessed, downloaded or otherwise obtained through our Sites, any of our employees' own individual LinkedIn pages, or other third party social media sites is done at your own and sole risk and Wilmington Trust is not responsible for any damage to your computer systems or loss of data that results from the download of such material. You are solely responsible for taking adequate and appropriate security measures to protect yourself against fraud or cyber-attacks. IN NO EVENT WILL WILMINGTON TRUST OR ITS AFFILIATES, DIRECTORS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR FOR ANY LOSS, INCLUDING LOSS OF PROFITS, GOODWILL AND BUSINESS INTERUPTION; HOWEVER, CAUSED, ARISING OUT OF YOUR USE OF, ACCESS TO OR RELIANCE ON THE SITES, INDIVIDUAL LINKEDIN PAGES, ANY THIRD PARTY SOCIAL MEDIA SITES, AND/OR THE CONTENT.
Intellectual Property, Copyright, Service Marks, and Trademarks. Title to and all intellectual property rights in the Sites and our Content remain vested in and owned by Wilmington Trust, unless otherwise expressly indicated. Trademarks, service marks and logos contained on the Sites and our Content are service marks or trademarks of one or more of the Wilmington Trust or its affiliates, except as otherwise noted. You may not in any way use any Wilmington Trust marks or other intellectual property without first obtaining our express written permission.
